Unless otherwise stated in the applicable quotation, website pricing is based on landed, duty-paid delivery to the Port of Los Angeles, California. Inland transportation, palletization, special handling, and final delivery charges are excluded unless expressly included.
Quotation-specific pricing, delivery destinations, freight arrangements, and payment requirements shall control over conflicting website information.
Quotations include estimated applicable taxes, import duties, trade tariffs, and related charges identified at the time of quotation.
Seven Sourcing reserves the right to revise a quotation to reflect additional taxes, duties, tariffs, fees, or other charges outside its reasonable control that become applicable to the goods.
Seven Sourcing will provide written notice of such adjustments. The customer agrees to pay applicable additional charges assessed before delivery.
Additional charges assessed after delivery shall be payable within fifteen (15) calendar days following written notification, as provided in the applicable quotation.
Unless otherwise specified in the quotation, a 50% deposit is required upon acceptance of the quotation.
The remaining balance is payable before shipment from the factory, unless alternative terms have been expressly approved in writing by Seven Sourcing.
All payments must be made in U.S. dollars by wire transfer. Third-party billing is not permitted unless authorized in writing.
Delays in payment may result in corresponding delays to production or delivery.
Checks and credit cards are not accepted for order payments.
Delivery terms, destinations, and applicable Incoterms shall be as expressly stated in the accepted quotation.
Unless otherwise specified, inland transportation and palletization are not included in quoted port-delivery pricing.
Ocean and air freight charges are based on rates available at the time of quotation and may change before booking. Additional charges may apply for palletization, special handling, custom mailing labels, or specialized packaging.
Seven Sourcing reserves the right to pass through applicable additional freight and handling charges as provided in the accepted quotation.
Additional charges assessed after delivery shall be payable within fifteen (15) calendar days following written notification, where provided in the accepted quotation.
Risk of loss, delivery responsibilities, and applicable transportation obligations shall be governed by the delivery terms specified in the accepted quotation.
Quantity discrepancies and visible freight damage should be reported to the carrier at delivery and promptly communicated to Seven Sourcing.

Production and delivery dates are approximate and are not guaranteed. Production schedules may exclude weekends, factory holidays, and U.S. holidays.
Custom tooling, specialized materials, factory capacity, customs processing, shipping schedules, and other circumstances may extend lead times.
Please refer to the accepted quotation for current production and delivery schedules.
Unless otherwise specified, master cartons are intended to be suitable for domestic transportation by common parcel carriers such as UPS and FedEx. Inner cartons are not considered individual reshipping cartons unless expressly stated.
Custom packaging, palletization, special labeling, and additional handling requirements may result in additional charges and extended lead times.
Production artwork should be supplied in Adobe Illustrator vector format (.ai or .eps), with all fonts converted to outlines.
Exact Pantone Matching System (PMS) color matching is not guaranteed. Variations may occur due to materials, manufacturing processes, decoration methods, and production conditions.
Customers are responsible for reviewing and approving all artwork, decoration placement, colors, and specifications before production.
Following receipt of a purchase order, Seven Sourcing will issue an order acknowledgment. Customers are responsible for reviewing the acknowledgment and promptly reporting any discrepancies or requested corrections.
All order changes must be confirmed in writing.
Written approval of the applicable digital proof or physical preproduction sample is required before production begins.
Approval constitutes acceptance of the approved specifications, including applicable materials, dimensions, decoration, colors, functionality, and packaging.
Digital proofs are generally available at no charge. Physical preproduction samples may be subject to additional charges as specified in the quotation.
Purchase orders are considered firm upon acceptance and may not be canceled without written factory authorization.
In the event an order cancellation is authorized, the customer shall be responsible for materials and other expenses incurred through the date of cancellation, together with the $500 cancellation fee specified in Seven Sourcing's quotation terms.
Deposits applied to committed factory expenses are nonrefundable to the extent provided in the accepted quotation.
Changes requested after order placement or preproduction approval may result in additional charges and revised delivery schedules.
Changes after production has commenced require express written authorization and may not be accepted.
Every effort will be made to produce and ship the exact quantity ordered. Due to normal manufacturing tolerances, Seven Sourcing reserves the right to ship up to 5% more or less than the quantity specified in the purchase order.
Overruns: Units shipped in excess of the ordered quantity, up to 5%, will be provided at no additional charge.
Underruns: If the quantity shipped is less than the quantity ordered, the customer will be invoiced only for the actual quantity shipped. Any prepaid amounts attributable to the shortfall will be credited or refunded.
Quantity variations exceeding 5% require customer approval.
Due to normal manufacturing processes, variations in product dimensions, decoration placement, shade, color, size, weight, texture, colorfastness, and construction may occur.
Unless otherwise agreed upon in writing, the manufacturing and decoration tolerances specified in the accepted quotation shall apply.
Product-specific specifications and approved tolerances shall govern where expressly established in writing.
Unless otherwise specified in the accepted quotation, products are quoted as general consumer products. Any additional testing, certification, inspection, labeling, or regulatory requirements must be identified at the time of quotation.
Additional compliance requirements may result in increased costs and extended production lead times. Seven Sourcing works with independent testing and inspection agencies, including SGS and Intertek, as appropriate for the applicable requirements.
Products designed or intended primarily for children 12 years of age or younger may be subject to the Consumer Product Safety Improvement Act (CPSIA) and other applicable federal requirements.
Customers must accurately identify the intended audience, use, and marketing of their products before quotation and production.
Applicable testing, certification, labeling, and compliance responsibilities will be determined by law and the accepted quotation. Nothing in these terms eliminates obligations imposed directly on Seven Sourcing by applicable law.
California Proposition 65 may require warnings for certain exposures to chemicals identified by the State of California as causing cancer, birth defects, or other reproductive harm.
Customers must notify Seven Sourcing when products are intended for distribution or sale in California and identify any applicable customer-specific labeling or warning requirements.
Seven Sourcing will address applicable warning and labeling requirements in accordance with relevant law and the written specifications established for the order.
Additional testing, labeling, or packaging requirements may result in additional costs or extended lead times.

Customers represent and warrant that all artwork, logos, trademarks, designs, concepts, specifications, images, and other materials supplied to Seven Sourcing are authorized for the intended use.
Customers further represent that products manufactured according to their instructions or specifications will not infringe the intellectual property rights of third parties.
Seven Sourcing shall not be responsible for infringement claims arising from:
To the extent permitted by applicable law, the customer agrees to defend, indemnify, and hold harmless Seven Sourcing, Inc. against claims, damages, liabilities, settlements, penalties, costs, and reasonable attorneys' fees arising from the circumstances described above.
Seven Sourcing warrants its products against manufacturing defects for ninety (90) days from the date of delivery.
In the event of a breach of this warranty, the customer's sole and exclusive remedy, to the extent permitted by applicable law, shall be replacement of the defective product or a refund of its purchase price, at Seven Sourcing's discretion.
This warranty does not cover damage resulting from misuse, improper handling, improper storage, unauthorized modification, or ordinary wear and tear.
Claims involving shortages, visible shipping damage, or apparent delivery discrepancies must be reported promptly and within five calendar days of receipt where applicable. This reporting requirement does not shorten the ninety-day warranty for covered manufacturing defects.
Products manufactured from reclaimed wine barrels or other natural and previously used materials may exhibit variations in grain, color, staining, markings, texture, and surface imperfections.
These characteristics contribute to the authenticity of the materials. Uniform appearance between individual pieces cannot be guaranteed.
Natural cosmetic variations that do not affect the product's intended function are not considered manufacturing defects.
To the maximum extent permitted by applicable law, Seven Sourcing's aggregate liability arising from or relating to an order shall not exceed the purchase price of the products giving rise to the claim.
Seven Sourcing shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, or loss of business opportunities, to the extent permitted by law.
Any liability limitations or remedies expressly stated in the accepted quotation shall take precedence over conflicting provisions on this website.
Seven Sourcing shall not be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, adverse health outbreaks, epidemics, severe weather, fire, flood, civil unrest, war, terrorism, embargoes, material shortages, labor disruptions, government actions, customs delays, shipping interruptions, or lack of vessel space.
Performance affected by such circumstances shall be excused for the duration of the event and for a reasonable period necessary to resume operations.
Seven Sourcing will make commercially reasonable efforts to communicate material delays and minimize disruptions.
These Terms & Conditions and applicable quotations shall be governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles.
Subject to applicable law, disputes arising from or relating to an accepted quotation or purchase order shall be brought in the state or federal courts located in New Jersey. The parties consent to the jurisdiction and venue of those courts.
In the event of any conflict or inconsistency between these website Terms & Conditions and the terms expressly stated in an applicable quotation issued by Seven Sourcing, Inc., the terms of the accepted quotation shall govern and take precedence.
These website Terms & Conditions apply to matters not otherwise addressed in the accepted quotation, to the extent incorporated into the parties' agreement.
Any modifications to the applicable quotation or these Terms & Conditions must be expressly agreed upon in writing by Seven Sourcing, Inc.
Additional or conflicting terms contained in a customer's purchase order or other documents shall not apply unless expressly accepted in writing by Seven Sourcing.
By accepting a quotation or submitting a purchase order referencing a quotation issued by Seven Sourcing, Inc., the customer acknowledges and agrees to the terms of the accepted quotation and these website Terms & Conditions, to the extent incorporated into the parties' agreement.
